Terms and Conditions for Graphic Design Services
1. Introduction
These Terms and Conditions govern the working relationship between Kalee Jackson (“Designer”) and the client (“Client”). By engaging in the Designer’s services, the Client agrees to these terms.
2. Services
The Designer provides graphic design services, including but not limited to branding, logo design, marketing materials, website graphics, and social media assets. The scope of work, timeline, and deliverables will be outlined in a project agreement or proposal.
3. Payment Terms
A non-refundable deposit of 50% is required before work begins.
The remaining balance is due upon project completion, prior to final file delivery.
Payment must be made via bank deposit, or credit card (via HNRY).
Invoices must be paid within 21 days of the issue date. Late payments will incur a fee of 10% per month of the outstanding balance. If payment is not received within 7 days after the due date, the project may be paused, and legal action may be taken to recover unpaid amounts.
All prices are quoted in New Zealand Dollars (NZD), unless stated otherwise.
4. Revisions and Approval
The Client is entitled 3 rounds of revisions, unless agreed otherwise in the project agreement or proposal. Additional revisions will be charged at the designer’s standard hourly rate of $100 per hour, minimum 1/4 hour.
Major design changes after approval of a concept will be charged separately.
Final approval must be provided in writing (email is acceptable). Once approved, further changes may be subject to additional fees. The Client agrees that email approval of design concepts or revisions constitutes final approval and will proceed to the next stage of work.
5. Timeline & Deadlines
Turnaround times will be discussed before starting the project.
Delays in client feedback or providing necessary materials may affect the delivery date.
Urgent projects may be subject to a rush fee. Moderate Rush (Next-day or same-week delivery) – A rush fee of 150% (1.5x the standard rate) will be applied. Extreme Rush (Same-day, overnight delivery or weekend work) – A rush fee of 200% (2x the standard rate) will be applied.
6. Intellectual Property & Copyright
The Designer retains copyright ownership of all designs until full payment is received.
Upon full payment, the Client receives the right to use the design for the agreed-upon purpose.
The Designer reserves the right to showcase completed work in a portfolio, unless otherwise agreed in writing.
Final artwork will be delivered via email or WeTransfer. Source files (e.g., PSD, AI) are not included unless specified in the agreement and may incur an additional fee.
7. Additional Costs and Expenses
The estimate provided for the project does not include additional expenses such as, but not limited to, font licensing, image licensing, print costs, proofs, press-passing, or travel costs incurred during the completion of the project (if applicable). These additional expenses will be billed to the client at cost and will be agreed upon and outlined in advance before they are incurred.
8. Cancellations and Refunds
If the Client cancels the project after work has commenced, the deposit is non-refundable.
If cancellation occurs after partial or full work is completed, the Client may be invoiced for work done up to that point.
Either party may terminate the project by providing written notice if the other party breaches any material term of this agreement. Upon termination, the Client will be invoiced for work completed to the termination date, and any outstanding balances must be settled promptly.
9. Client Responsibilities
The Client must provide all necessary materials (logos, text, images, etc.) in a timely manner.
Delays in providing materials may result in project timeline extensions.
10. Liability & Disclaimers
The Client warrants that all materials provided to the Designer for the project (e.g., logos, images, text) are either owned by the Client or the Client has permission to use them for the project. The Designer assumes no responsibility for copyright infringement related to Client-provided materials.
The Designer is not liable for any indirect damages resulting from the use of the final designs.
The Designer is not responsible for any printing or third-party errors once final files are delivered.
11. Confidentiality
Both parties agree to keep any confidential information shared during the project private and not disclose it to third parties.
12. Governing Law
These terms are governed by the laws of New Zealand, and any disputes will be resolved in accordance with these laws. In the event of any dispute arising from these Terms and Conditions or the project, both parties agree to attempt to resolve the dispute amicably through mediation before pursuing any legal action.
13. Force Majeure
Neither party shall be held liable for any delay or failure in performance due to causes beyond their reasonable control, including but not limited to natural disasters, government restrictions, or technical failures.
14. Amendments
The Designer reserves the right to update these terms at any time. Clients will be notified of any significant changes.
